Terms of service
Terms and Conditions
Version marketplace-20261014-operator-v1. Effective October 14, 2026 (UTC).
BizAcquir LLC operates BizAcquir. These Terms govern use of the marketplace. Existing accepted transaction-specific agreements remain unchanged.
1. Marketplace scope
BizAcquir connects buyers and sellers of Whop businesses, Shopify stores and revenue-generating SaaS businesses. SaaS listings are full operating-business sales, not standalone source-code or licence sales. Profit is not required. Domains, software and community assets may form part of an agreed business sale.
All listed businesses are offered by independent sellers. Sellers must have authority to sell the included assets and must disclose material dependencies and transfer restrictions.
2. Nature of Marketplace Transactions
All asset purchases and sales facilitated through the Platform constitute direct transactions between buyers and sellers.
BizAcquir LLC is not a party to the Asset Purchase Agreement executed between buyers and sellers for each deal, but acts as Records Custodian for executed agreements (see Section 3).
BizAcquir LLC does not act as:
the seller of any asset
the buyer of any asset
a broker representing either party
a financial institution
a licensed escrow provider
BizAcquir LLC provides only marketplace infrastructure and transaction facilitation services.
3. Agreements and recorded consent
Before funding, buyer and seller review the recorded sale price, currency, applicable fees, included assets, exclusions, handover obligations and transaction-specific terms. Each party must explicitly accept the same current version. Material changes require fresh acceptance.
The private deal workspace preserves recorded terms, downloadable drafts and version history. A generated draft is not a claim of legal review or a substitute for an appropriate executed agreement. Existing accepted agreements are not changed retrospectively by these policies.
4. Marketplace Listings
Sellers are solely responsible for the accuracy of their listings.
By creating a listing, sellers represent and warrant that:
they are the lawful owner of the asset
they have the legal authority to sell the asset
the information provided in the listing is accurate and not misleading
the asset does not infringe third-party rights
BizAcquir LLC reserves the right to remove any listing at its sole discretion.
5. Buyer Due Diligence
Buyers are responsible for conducting their own due diligence before purchasing any asset listed on the Platform.
BizAcquir LLC does not verify all listing information and makes no guarantees regarding the accuracy or completeness of listings.
6. Payment Settlement and Platform Role
BizAcquir LLC, operating the BizAcquir platform, provides technology services that facilitate transactions between independent buyers and sellers.
Where payment settlement services are offered, BizAcquir LLC may receive funds from a buyer solely for the purpose of facilitating the completion of a transaction between the buyer and the seller, and only after the Asset Purchase Agreement for that deal has been fully executed by both parties.
Such funds are received as settlement funds on behalf of the parties to the transaction and are held only temporarily pending completion of the asset transfer.
BizAcquir facilitates the transaction by receiving and holding buyer funds, or coordinating their holding through designated payment or settlement providers, until the applicable transfer and release conditions are satisfied. This arrangement is subject to applicable law, provider requirements, and the transaction-specific agreement. BizAcquir does not take ownership of the assets being sold.
The underlying sale of any asset occurs directly between the buyer and the seller, and BizAcquir LLC acts only as a platform operator and transaction facilitator.
BizAcquir LLC may deduct applicable platform fees or commissions from settlement funds before releasing the remaining amount to the seller.
The specific current fee, refund, acceptance and hold conditions are set out below; fees are never silently added to an accepted agreement.
7. Assisted handover and manual settlement
The buyer follows the current acknowledged bank instructions in the private deal workspace. An authorized finance staff member confirms receipt only after checking the bank account; an uploaded receipt is evidence, not confirmation.
The seller declares the agreed assets delivered, staff check the checklist, and the buyer explicitly acknowledges access to start the agreed inspection period (normally seven calendar days). Starting inspection is not acceptance. The buyer may accept early through an explicit confirmation of the current handover version.
Ordinary seller payout requires explicit buyer acceptance, no unresolved dispute and all agreed funding and transaction prerequisites. Silence, elapsed time, a receipt upload or a seller delivery declaration does not authorize payout. Authorized finance staff record actual manual bank movements; the website does not initiate transfers.
8. Settlement Funds
Funds received by BizAcquir LLC in connection with marketplace transactions:
are held solely for settlement purposes
are not the property or revenue of BizAcquir LLC
may be held in designated client settlement accounts
BizAcquir LLC acts only as a temporary payment settlement intermediary.
If a material dispute arises, BizAcquir LLC may temporarily continue to hold settlement funds while gathering instructions, reviewing Platform records, allowing the parties to respond, obtaining professional advice, or awaiting a written settlement or binding direction. A seller request alone does not authorise a refund, and a buyer request alone does not authorise release to the seller. Administrative handling of settlement funds does not constitute a final legal determination of the parties’ rights or liabilities.
9. Listing costs, transaction fees and refunds
Listing submissions are free. Your listing stays live until it sells, with automatic renewal every 30 days at no extra listing cost. Drafts, pending or rejected submissions are not published; sold, withdrawn, suspended or deliberately removed listings are not restored by renewal.
For new USD agreements, the seller success fee is 7% of the entire agreed sale price up to and including USD $50,000, or 5% of the entire sale price above USD $50,000. The buyer transaction fee is 2% of the agreed sale price, added on top. Seller fees are calculated on the sale price alone, excluding the buyer fee. Fees are shown before agreement. Existing accepted deal fees remain unchanged unless explicitly amended.
A $10,000 sale has a $200 buyer fee and $10,200 buyer total. The seller fee is $700 and net seller proceeds after that seller fee are $9,300. Tax calculations are not automated; these figures do not establish any tax exemption.
For installments, the buyer fee is allocated proportionally to principal actually paid. The seller rate stays fixed using the total agreed sale price and is deducted from each confirmed installment when its authorized payout is prepared, subject to completion and buyer-acceptance safeguards. Final-installment rounding reconciles to the agreed totals. Unpaid installments collect no fee.
When cancellation is approved through the agreed settlement process, all amounts actually paid toward the deal are refundable, including buyer fees and any collected seller success fee, without a cancellation deduction. Fee reversals are recorded separately without increasing or double-counting the buyer refund. Unpaid installments are not refunded.
A request, dispute or account restriction does not itself move money. Cancellation requested, refund approved and refund actually completed are separate states. Where funds have already been paid out, the outstanding recovery or funding requirement remains recorded until money is available and the actual refund is recorded.
Partial refunds, including any seller-fee refund, require explicit amounts and reasons, both parties' acceptance of the same proposal, Senior Dispute Reviewer approval and authorized finance recording. There is no automatic prorating rule. All bank movements are manual.
10. Taxes
Buyers and sellers are solely responsible for determining and paying any taxes associated with the purchase or sale of assets conducted through the Platform.
The underlying asset transaction occurs directly between buyer and seller.
BizAcquir LLC is responsible only for taxes applicable to its own service fees or commissions.
11. Disputes and settlement consent
Either participant may report a dispute immediately, with private supporting evidence. An unresolved dispute places ordinary seller payout on hold. Assigned managers collect information and propose a resolution; Senior Dispute Reviewer approval does not replace both parties' explicit agreement to the same settlement version.
Evidence deadlines and extensions are shown in the workspace. Missing a deadline triggers follow-up, not an automatic decision, acceptance, refund or payout. Material proposal changes invalidate earlier consent. Without agreement, the case stays on hold and may require external resolution under the applicable agreement. These procedures do not create unilateral binding arbitration authority.
An approved cancellation, refund or split settlement follows its separately agreed allocation and must not falsely mark the original handover accepted. Issues reported after payout are recorded separately and do not imply that funds remain held or guarantee recovery.
12. Identity, financial sources and listing review
Identity verified means the member's identity has been verified. It does not verify ownership, revenue or transaction safety. Connected Financials identify the source, reporting period and freshness of imported figures; sellers cannot edit imported values. Seller-provided financial figures remain separate.
BizAcquir Vetted is a separate listing review of the recorded areas. Identity status, a provider connection, publication approval and a Vetted badge do not guarantee performance or a successful transaction. Completed-transaction counts include genuine completed BizAcquir deals, not showcase sales or offers.
Sellers must provide accurate listing information and authorize only financial accounts whose data relates to the listed business. First submission requires a successfully connected Whop, Stripe or Shopify account and a genuine initial import. Businesses must have genuine past revenue; current revenue or profit may be zero. Drafts remain available before connection.
13. Third-Party Platform Accounts Disclaimer
The Platform facilitates the sale and transfer of accounts associated with third-party platforms, including but not limited to Whop, Shopify and services used by SaaS businesses.
Buyers and sellers acknowledge and agree that:
all third-party platform accounts are subject to the terms of service, policies, and independent review processes of the respective platform provider
BizAcquir LLC does not guarantee that any third-party platform account will remain active, approved, or in good standing following a transfer of ownership or access
the transfer of account access or ownership may trigger reviews, suspensions, or policy enforcement actions by the third-party platform provider
buyers assume full responsibility for any actions taken by a third-party platform provider following the transfer of an account
sellers are responsible for ensuring that the transfer of account access complies with the applicable third-party platform’s terms and policies
BizAcquir LLC makes no representations regarding the policies of any third-party platform and does not provide legal advice regarding compliance with third-party terms of service
Users are strongly encouraged to review the terms of service of any third-party platform before completing a transaction involving an account on that platform.
BizAcquir LLC acts solely as a marketplace facilitator and bears no liability for any consequences arising from third-party platform policy enforcement.
14. Limitation of Liability
To the maximum extent permitted by law, BizAcquir LLC shall not be liable for:
inaccurate listings
failure of asset transfer
buyer or seller misconduct
financial losses arising from marketplace transactions
BizAcquir LLC’s total liability shall not exceed the amount of fees paid to BizAcquir LLC in connection with the transaction.
15. Reporting, supervision and account restrictions
Members may report messages or accounts for owner review. Authorized staff may review and participate in conversations for support, safety, enforcement or dispute resolution; support replies are attributed to BizAcquir Support.
Depending on the issue, BizAcquir may warn, suspend or ban an account. Suspected off-platform solicitation is reviewed in context, not automatically treated as a violation because of a keyword. Restrictions preserve messages, evidence and transaction records, and open deals receive follow-up. Restrictions never automatically release, refund or reallocate funds.
Unbanning does not automatically restore hidden listings or prior staff privileges. Contact [email protected] for help with an account restriction or ongoing case.
16. Governing Law
These Terms shall be governed by the laws of the State of Wyoming, United States
Email: [email protected], without regard to conflict of law principles.
17. Policy versions and acknowledgment
These policies apply prospectively. Registration records the accepted version, and existing members are asked to acknowledge material updates in their account area. Updated policies do not silently amend already accepted transaction-specific agreements. Access to support and ongoing case information is preserved.
18. Platform usage rules
Keep deal communication on BizAcquir and follow the payment instructions in your deal workspace. Report requests to move the deal elsewhere.
Soliciting off-platform contact to move deal discussions or payment arrangements away from BizAcquir, including through WhatsApp or similar channels, is prohibited. It can reduce our ability to investigate scams and may result in suspension or banning. Reporting someone else's request, describing a WhatsApp community included in a business, or discussing approved handover assets is not by itself prohibited solicitation.
Sellers must keep listing information accurate, disclose known material liabilities, financing arrangements and transfer limitations, and maintain the agreed assets during the sale. Use authorized provider consent, appropriate invitations, account transfers and credential rotation; never publish passwords, API secrets or private customer lists.
Both parties must communicate respectfully, complete their own due diligence, and explicitly agree material changes to price, assets, fees or obligations. BizAcquir coordinates the process and does not guarantee a transaction.
19. Document Priority, No Waiver, and Survival
For the sale and transfer of assets, a transaction-specific written amendment signed by both parties prevails, followed by the Asset Purchase Agreement, the transaction-specific listing, the Platform Transaction Terms, and these Terms. The seller’s separate obligations owed directly to BizAcquir LLC, including Platform fees, non-circumvention, cooperation, and records obligations, remain governed by the applicable seller and Platform terms unless BizAcquir LLC expressly agrees otherwise in writing.
A delay or failure by a party or BizAcquir LLC to enforce a right does not waive that right. Granting additional transfer time or accepting partial performance does not amend the Purchase Price, waive an existing breach, create a cancellation right, or constitute completion unless completion is confirmed through the Platform process.
Provisions concerning accrued payment and refund obligations, confidentiality, non-circumvention, records retention, permitted identity disclosure, dispute resolution, limitation of liability, indemnification, and any other provision intended by its nature to continue survive completion, refund, termination, suspension, and account closure.

Financial account connections
Sellers authorize access needed to retrieve and check business financial information and operate the connection. BizAcquir uses relevant information to support listing review, platform integrity and buyer safety. Each provider shows the requested permissions before the seller agrees.
Some requested permissions allow broader account access, including changes or financial operations. BizAcquir currently uses these connections to retrieve and display financial information; it does not use them to make charges, refunds, transfers, payouts or changes to the seller’s business. Granting access does not itself instruct BizAcquir to perform those operations.
To request disconnection, use Request disconnection on your listing’s Financial connections page or contact support. You can also withdraw access through the provider. Disconnection stops future synchronization. Previously imported information may remain as dated historical information under the existing access restrictions; it will not be shown as a current connection.
Businesses Wanted and Verified Funds
Buying requests are free. Existing BizAcquir transaction fees continue to apply to completed sales. Publication requires approved identity verification, funds verification and request review. You may save and submit your request before completing verification.
Verified Funds is purchasing capacity reviewed by BizAcquir LLC and may include cash and available credit. You agree to public display of the approved total and currency when requesting verification. It is separate from your acquisition budget, an escrow balance and any completed transaction amount.
Provide accurate information and notify BizAcquir of material changes to your purchasing capacity. Our team may adjust or revoke approval following further review. Revocation pauses affected public requests while preserving saved content and conversations. Material request changes require review; the previously approved version may remain visible while changes are reviewed. You may pause or remove your request.
Seller introductions and conversations are private to participants and authorized BizAcquir staff. Attaching a confidential listing does not replace its NDA or seller access approval. A funds badge describes reviewed purchasing funds; it is not a commitment to purchase.
