YOUR PRACTICAL PREPARATION PLAN
Shopify store selling checklist
Work through the information a buyer needs, from the financial history to the final handover. Print or save a copy and use it to track your progress.
Check the fit
- This is a sale of a whole Whop, Shopify or SaaS business with genuine past revenue. Current revenue and profit may be zero; a never-revenue project is outside the marketplace’s current scope.
- Confirm your authority to sell the assets. Listing review, member identity verification and connected financial data are separate checks.
Store and domain
- Confirm you can access the store and use Shopify’s supported ownership-transfer process. Check the current plan and any steps needed to reactivate a closed store.
- List domains and their registrar, theme licences and essential apps. Store ownership transfer does not automatically transfer every external account or contract.
Stock and fulfillment
- Count inventory, document ownership and identify obsolete or unsaleable stock. Do not use retail ticket prices as guaranteed inventory value.
- Record supplier terms, lead times, fulfillment arrangements, open orders, returns and gift-card obligations. Confirm which relationships a buyer can retain.
Unit economics
- Compare sales with product cost, advertising, fulfillment, refunds and subscriptions for matching dates.
- Explain whether previous acquisition channels still work, what access can transfer and what it would cost to resume operations.
Establish the financial story
- Choose a historical period with genuine revenue and keep its currency and dates. Show current trading separately, even if current revenue is zero.
- Reconcile collected revenue, refunds and disputes. Add the operating costs needed to deliver the service; revenue is not profit.
- Connect an authorized Whop, Stripe or Shopify account and complete its initial import before first submission. Select the business whose figures relate to the sale. A personal payment history alone is not a business.
- Explain gaps, seasonality and decline in plain language. Never replace missing records with zero or annualize a former peak as current recurring revenue.
Prepare an honest listing
- Choose Active or Inactive. For an inactive business, record when it stopped trading and what remains available.
- Describe the whole business, included assets, exclusions and ongoing obligations. Keep Asking Price distinct from an optional Buy Now amount.
- Save a draft before you have every answer. Complete the financial connection and review the preview before submitting for listing review.
- Keep customer lists, passwords, API keys and personal documents out of the public description. Share permitted evidence privately through the appropriate conversation or deal workspace.
Compare an offer, not just its headline
- Compare total price, timing, installments, included assets and remaining work. Check each party’s relevant fees before accepting terms.
- Listing is free. Published listings renew every 30 days until sold, unless withdrawn, suspended or otherwise removed.
- For USD sales, the seller fee is 7% through $50,000 inclusive or 5% above $50,000, applied to the whole sale price. The buyer fee is 2% on top. Cancellation refunds include collected platform fees under the agreed cancellation process.
- Do not treat an uploaded receipt as confirmation of funds. Follow payment instructions and progress in the deal workspace; never send money merely because a message asks you to.
Plan a controlled handover
- Agree an asset checklist, access sequence, exclusions and responsibilities before transfer. Confirm third-party transfer rules rather than promising a universal account handover.
- Use account invitations or supported ownership transfers and rotate access securely. Do not put credentials in the listing.
- Agree how existing customers, annual memberships, refunds and open support cases will be handled.
- Buyer inspection and explicit handover acceptance are separate steps. Keep unresolved issues in the deal workspace; silence does not accept delivery.
Your store-sale worksheet
Use these prompts alongside your checklist. Keep customer records and account credentials out of anything you publish.
| Prepare | What to record | Your next step |
|---|---|---|
| Trading history | The period and currency of actual sales, refunds and operating costs. Show current trading separately. | Choose a dated financial period and explain any gaps. |
| Inactive store | When trading stopped, why it stopped, ongoing costs and what needs restarting. | Separate assets still available from former performance. |
| Store and domain | Who can authorize Shopify ownership transfer; where the domain is registered. | Check the current Shopify transfer requirements and the registrar process. |
| Apps and services | App names, licence owner, recurring cost and any transfer limits. | Confirm each provider's process; do not assume every contract transfers. |
| Inventory and suppliers | Stock included, its condition and valuation basis; supplier and fulfilment arrangements. | Agree what is included separately from the sale-price discussion. |
| Remaining obligations | Unfulfilled orders, returns, subscriptions, warranties and support commitments. | Agree responsibility and record it in the handover plan. |

A hypothetical inactive-store example
A store made sales last year but has not traded for four months. Its owner still controls the brand, domain and product photography. The preparation task is to show the actual historical sales period, identify current costs and confirm which supplier and app arrangements a buyer could continue. Last year's sales are not current revenue, and this example does not assign a sale price.
