A larger offer paid over time is not automatically better than a smaller amount paid upfront. Compare what is agreed, when money is due, which assets transfer and what happens if a payment is missed. Keep uncertain future payments distinct from money actually received.
Put offers on the same worksheet
Record currency, total principal sale price, installment amounts and dates, relevant fees, included assets and transition work. Distinguish a fixed installment schedule from an earn-out dependent on future performance; do not call an uncertain earn-out guaranteed consideration.
| Term | Upfront offer | Installment offer |
|---|---|---|
| Total agreed price | One principal amount | Sum of principal installments |
| Timing | When funds must be confirmed | Due date for every installment |
| Handover | Agreed transfer sequence | Which obligations depend on payment stages |
| Risk | Completion and delivery conditions | Those conditions plus unpaid future amounts |
| Seller workload | Defined transition work | Any longer continuing commitment |
Calculate the fees on the agreed sale price
BizAcquir’s seller rate is selected from the total USD sale price: 7% through USD 50,000 inclusive, or 5% above it, applied to the whole price. The buyer fee is 2% on top. Seller fees are not calculated on the buyer fee. Hypothetical example: a USD 60,000 sale has a USD 3,000 seller fee and USD 1,200 buyer fee. With three equal USD 20,000 principal installments, each carries USD 400 buyer fee and USD 1,000 seller fee when the corresponding authorized payout is prepared. Seller proceeds after that seller fee are USD 19,000 per installment. These figures exclude any other specifically agreed obligations or applicable tax. The rate comes from USD 60,000, not each USD 20,000 installment. Unpaid installments do not create collected fees. The final installment must reconcile any cent rounding to the agreed totals.
Discuss the transfer sequence explicitly
Agree when inspection begins, what access is provided and what counts as delivery. Avoid arrangements where one party assumes final ownership transfers immediately while the other expects to retain control until the last payment. Do not invent a unilateral repossession or refund right. If an installment arrangement requires terms beyond the available agreement, resolve those terms before accepting it and obtain appropriate advice. The deal workspace records the agreed process; it does not make ambiguous terms safe by itself.
Consider cancellation and unavailable funds
Under BizAcquir’s confirmed cancellation policy, approved full cancellation refunds include amounts actually paid and collected platform fees, without a cancellation deduction. Approval and completed manual refund are separate states. Unpaid installments are not money available to refund. If funds have already been paid out, recovery or replacement funding may be needed. A cancellation request does not automatically recover that money. Partial refunds require specifically agreed amounts and the applicable approval process.
Choose with a clear reason
Compare expected workload, timing and uncertainty alongside price. Record questions in the conversation and carry material terms into the same agreement version both parties review. Funds confirmation, explicit buyer acceptance and unresolved-dispute safeguards still apply; an installment schedule does not bypass them.
Compare the risk of unpaid amounts explicitly
A fixed future installment is an agreed obligation, not money already received. Record due dates, principal, relevant fees and what happens under the approved agreement if a payment is missed. Do not substitute a new repossession or penalty clause without agreement.
When comparing two offers, separate certainty of payment, total work and timing. A buyer’s proposed future growth does not fund today’s unpaid installment. Full cancellation refunds cover amounts actually paid and collected platform fees through the agreed process; unavailable funds require an honest recovery or funding record.
